Terms of Service

Welcome to Wolff Consulting, LLC. These Terms of Service ("Terms") govern your use of our website and engagement with our consulting services. By accessing our site or entering into a service agreement, you agree to be bound by these Terms.

Wolff Consulting, LLC offers strategic advisory services, including but not limited to:

• Investor materials development (pitch decks, executive summaries, CIMs)
• Capital readiness and fundraising strategy
• M&A preparation and transactional support
• Financial modeling and pro forma forecasting
• Strategic positioning and messaging

All services are customized and subject to a separate written agreement.

Clients agree to:

• Provide timely, accurate information necessary for project execution
• Review and approve deliverables within agreed timelines
• Maintain open communication throughout the engagement

Fees are outlined in individual service agreements and may include fixed, hourly, or contingency-based structures. Unless otherwise stated:

• Invoices are due upon receipt
• Late payments may incur a 1.5% monthly interest charge
• Deposits may be required to initiate work

Both parties agree to maintain the confidentiality of all non-public information shared during the engagement. This obligation survives the termination of services.

Unless otherwise agreed:

• Wolff Consulting retains ownership of proprietary frameworks and templates
• Clients retain full rights to final deliverables created specifically for them
• Use of deliverables is limited to the client’s internal or investor-facing purposes

Wolff Consulting, LLC does not provide legal, tax, or investment advice. All strategic recommendations are advisory in nature and should be evaluated in consultation with appropriate licensed professionals.

To the fullest extent permitted by law, Wolff Consulting, LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website.

Either party may terminate an engagement with written notice. Fees for work completed up to the termination date remain payable.

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles.

We may update these Terms from time to time. Continued use of our services or website after changes are posted constitutes acceptance of the revised
